Terms of Use

1. Acceptance of Terms

By accessing or using the Nxwlto website ("Site") and our educational services ("Services"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Nxwlto, operating in Malaysia. If you do not agree to these Terms, please do not use our Site or Services.

We may modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Site. Your continued use of the Site or Services after any modifications indicates your acceptance of the modified Terms.

2. Services Description

Nxwlto provides educational consulting and tutoring services, including but not limited to:

• Individual tutoring sessions
• Group learning programs
• Educational consulting services
• Exam preparation coaching
• Educational materials and resources

The specific details, scope, and fees for our Services will be agreed upon separately between Nxwlto and each client through a service agreement or enrollment form.

3. User Accounts

3.1 Registration

To access certain features of the Site or Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password that you use to access the Site or Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. Nxwlto cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Termination

We reserve the right to terminate or suspend your account at any time, with or without cause or notice, for conduct that we determine, in our sole discretion, violates these Terms or other policies, or is harmful to other users, third parties, or our business interests.

4. Payment Terms

4.1 Fees

Fees for our Services are as specified on our Site, in a service agreement, or as otherwise communicated to you. All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated.

4.2 Payment Methods

We accept various payment methods, including credit/debit cards, bank transfers, and other payment methods as specified on our Site. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

4.3 Billing

If you sign up for recurring services, you agree that we may charge your payment method on a recurring basis for the applicable fees, plus any applicable taxes and fees. If your payment method is declined, you agree to provide an alternative payment method upon our request.

4.4 Refunds

Our refund policy is as follows:

• For package bookings, a refund may be issued if canceled at least 7 days prior to the scheduled start date, subject to a 15% administrative fee.
• For individual sessions, a refund may be issued if canceled at least 24 hours before the scheduled session, subject to a 10% administrative fee.
• No refunds will be issued for missed sessions or for cancellations made after the specified cancellation periods.

Special circumstances may be considered on a case-by-case basis at our sole discretion.

5. Intellectual Property

5.1 Our Content

All content on the Site, including text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Nxwlto or its content suppliers and is protected by Malaysian and international copyright laws. The compilation of all content on the Site is the exclusive property of Nxwlto and is protected by Malaysian and international copyright laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and our Services for personal, non-commercial purposes. This license does not include:

• The right to reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile, or otherwise exploit the Site or any portion of it
• The right to copy or store any Site content for purposes other than viewing the Site
• The right to use the Site or its content in any way that is unlawful, harmful to others, or prohibited by these Terms

5.3 Educational Materials

All educational materials provided as part of our Services, including worksheets, presentations, digital resources, and assessment tools, are the property of Nxwlto or its licensors and are protected by copyright laws. You may not reproduce, distribute, or create derivative works from these materials without our explicit written permission.

6. User Conduct

By using our Site and Services, you agree not to:

• Violate any applicable laws, regulations, or these Terms
• Interfere with or disrupt the Site or servers or networks connected to the Site
• Attempt to gain unauthorized access to any portion of the Site or any other accounts, systems, or networks
• Engage in any abusive, harassing, threatening, or offensive behavior toward our staff, tutors, or other users
• Submit false or misleading information
• Use our Services for any illegal or unauthorized purpose
• Share account credentials with others or allow others to use your account

7. Attendance and Scheduling

7.1 Session Scheduling

Sessions must be scheduled in advance through our booking system or by contacting our office. Availability is subject to tutor schedules and cannot be guaranteed without confirmation.

7.2 Cancellations and Rescheduling

If you need to cancel or reschedule a session, please notify us:

• For individual sessions: at least 24 hours in advance
• For group sessions: at least 48 hours in advance

Sessions canceled with less notice may be charged in full, at our discretion. We reserve the right to reschedule sessions due to tutor illness or other unavoidable circumstances.

7.3 Late Arrivals

If a student arrives late to a session, the session will still end at the scheduled time. We cannot extend sessions to accommodate late arrivals as this would impact other scheduled students.

8. Privacy

Your use of our Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, Nxwlto DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nxwlto DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WHILE WE STRIVE TO PROVIDE HIGH-QUALITY EDUCATIONAL SERVICES, Nxwlto DOES NOT GUARANTEE SPECIFIC ACADEMIC OUTCOMES OR RESULTS, AS THESE DEPEND ON VARIOUS FACTORS INCLUDING STUDENT EFFORT, ATTENDANCE, AND INDIVIDUAL LEARNING CAPABILITIES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Nxwlto SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
• ANY CONTENT OBTAINED FROM THE SITE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL Nxwlto'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO Nxwlto FOR THE SERVICES GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nxwlto, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Site or Services, your violation of these Terms, or your violation of any rights of another.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Site or Services shall be brought exclusively in the courts of Malaysia, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most closely matches the intent of the original provision.
